I am very privileged to have been invited to speak at a Continuing Education Program sponsored by the University of Alabama School of Law this week in Birmingham. My topic will be Shell Games — Piercing the Corporate Veil. While this topic would seem to have little importance to non-lawyers, when you are unfortunate enough to have contracted with a sham corporation with no assets or you are otherwise injured by such a corporation, the subject will become very important to you and your lawyer. In such situations, you will have to pierce the corporate veil in order to set aside the protection the corporation would normally give to its shareholders or parent corporation. This allows you to recover from solvent entities. In other words, you have to learn how to win at the Shell Game!
